Terms of Business

Last updated: January 2026. These terms govern the relationship between Staffpoint Recruitment and our clients. Please read them carefully before engaging our services.

Important: By instructing Staffpoint Recruitment to search for candidates on your behalf, you agree to be bound by these Terms of Business. These terms form the basis of the contract between you ("the Client") and Staffpoint Recruitment ("Staffpoint", "we", "us"). 1. About us

Staffpoint Recruitment is a specialist recruitment consultancy operating under the Employment Agencies Act 1973 and the Conduct of Employment Agencies and Employment Businesses Regulations 2003. We introduce candidates to clients for the purpose of permanent employment. We are registered in England and Wales.

2. Our service

Staffpoint provides an introduction service, connecting clients with suitable candidates for permanent employment roles. Our service includes:

  • Taking a detailed brief from the client regarding the vacancy
  • Identifying, approaching and screening suitable candidates
  • Presenting a shortlist of pre-qualified candidates to the client
  • Supporting the interview and selection process
  • Managing the offer and acceptance process

We do not act as an employment business for the purposes of supplying temporary or contract workers under these terms. Separate arrangements apply for any contract or interim placements, which will be confirmed in writing.

3. The client's responsibilities

By engaging Staffpoint, the client agrees to:

  • Provide an accurate and complete brief regarding the vacancy, including role requirements, salary, benefits and working arrangements
  • Notify Staffpoint of any material changes to the vacancy during the search process
  • Inform Staffpoint promptly if a vacancy is withdrawn or filled through another source
  • Treat all candidate information shared by Staffpoint as confidential and use it only for the purposes of assessing suitability for the specific vacancy
  • Obtain Staffpoint's agreement before sharing any candidate's details with third parties
  • Notify Staffpoint immediately when an offer is made to and accepted by a candidate
  • Notify Staffpoint of any candidate introduced by us who is engaged, even if through a different role or at a later date (see clause 5)

4. Our fees

Staffpoint's fees are based on a percentage of the placed candidate's annual gross basic salary ("the Placement Fee"). Our standard fee structure is:

  • Roles up to £40,000: 15% of annual gross basic salary
  • Roles £40,001 to £60,000: 17% of annual gross basic salary
  • Roles above £60,000: 20% of annual gross basic salary (or as agreed in writing)

Fees are agreed in writing prior to commencing a search. The Placement Fee becomes due and payable upon the candidate's confirmed start date. Staffpoint will issue an invoice at that point, payable within 30 days.

All fees are subject to VAT at the prevailing rate where applicable.

No placement, no fee: If we do not successfully place a candidate with you, no fee is payable. There are no upfront search fees or retainers under our standard terms unless separately and explicitly agreed in writing.

5. Re-engagement and indirect engagement

If the client (or any associated company) engages any candidate introduced by Staffpoint — whether for the originally discussed role, a different role, or at any future point within 12 months of the introduction — the full Placement Fee as set out in clause 4 applies.

An "introduction" is deemed to have taken place when Staffpoint provides the client with information sufficient to identify the candidate, including by name, CV, or contact details.

6. Rebate policy

We offer a goodwill rebate on Placement Fees in the following circumstances, provided the client has met all payment obligations and the termination was not due to redundancy or the client's own actions:

  • Candidate leaves or is dismissed within 4 weeks of start date: 75% rebate
  • Candidate leaves or is dismissed between weeks 5–8 of start date: 50% rebate
  • Candidate leaves or is dismissed between weeks 9–12 of start date: 25% rebate
  • After 12 weeks: no rebate applies

Rebates are provided as a credit against a future placement fee with Staffpoint, not as a cash refund, unless otherwise agreed in writing. The rebate lapses if payment has not been received within our standard 30-day payment terms.

7. Exclusivity and non-exclusivity

Unless a retained search arrangement is agreed in writing, Staffpoint operates on a non-exclusive basis. The client is free to use other recruitment methods simultaneously. However, if a candidate is introduced by multiple agencies, the agency who made the first introduction (confirmed in writing) will be entitled to the placement fee.

8. Confidentiality

Both parties agree to keep confidential all information shared in connection with a search, including candidate profiles, client business information and the terms of this agreement. This obligation survives termination of the relationship.

Candidate CVs and personal details shared by Staffpoint are provided in strict confidence. The client must not share this information with any third party without Staffpoint's prior written consent.

9. Data protection

Both parties agree to comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018 in relation to all personal data shared as part of the recruitment process. Staffpoint acts as a Data Controller in respect of candidate data. Clients become Data Controllers for candidate data they receive from Staffpoint and must handle it in accordance with applicable data protection law. A Data Processing Agreement is available on request.

10. Liability

Staffpoint takes all reasonable steps to verify the accuracy of information provided by candidates, including references at offer stage. However, we cannot guarantee the accuracy of information provided by candidates and accept no liability for losses arising from any misrepresentation by a candidate.

Staffpoint's total liability to the client in connection with any placement shall not exceed the Placement Fee paid in respect of that placement.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or any other liability that cannot be excluded by law.

11. Governing law

These Terms of Business are governed by the laws of England and Wales. Any dispute arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Amendments

Staffpoint reserves the right to amend these Terms of Business from time to time. The current version will always be available at staffpoint.co.uk/terms.html. Continued use of our services following any amendment constitutes acceptance of the updated terms.
